Acceptance of Terms
By creating an account, accessing, or using the BookdUp platform ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and BookdUp.
Platform Description
BookdUp is a platform that connects creators, talent, and clients for bookings, consultations, livestreams, courses, digital products, and other services. The Platform also provides subscription plans, AI-powered content tools, community features, and an affiliate marketing program. BookdUp acts as an intermediary and is not a party to any agreement between a creator and a client, except where BookdUp directly provides a service.
Account Registration
You must be at least 18 years old to create an account. You agree to provide accurate and complete information during registration and to keep your account information current. You are solely responsible for maintaining the security of your account credentials and for all activity that occurs under your account. BookdUp reserves the right to reject or remove any account that provides false information.
Subscription Plans & Billing
BookdUp offers several subscription tiers: Explorer (Free), Creator Pro ($29.99/month), Creator Elite, Business, and Celebrity/Enterprise. Annual billing is available at a discounted rate. All subscription payments are processed through Stripe. Subscriptions automatically renew until cancelled. You may cancel your subscription at any time through your Stripe billing portal or by contacting support. Cancellation takes effect at the end of your current billing cycle. Refunds are governed by the cancellation and refund policy below.
Platform Fees
The Explorer (Free) plan is subject to a 10% platform fee on all transactions. All paid plans (Creator Pro and above) have a 0% platform fee, meaning creators keep 100% of their earnings minus payment processor fees charged by Stripe. The platform fee structure may be updated with notice to users.
Payment Processing
All payments on the Platform — including bookings, product purchases, tips, calls, webinars, and subscription fees — are processed through our authorized payment processors, including Stripe and Base44 Payments. Creators who wish to receive direct payouts must connect a Stripe account via Stripe Connect. BookdUp does not store, collect, or transmit your payment card information. By making a payment, you authorize the applicable payment processor to charge your designated payment method. All payment disputes must be handled in accordance with the applicable processor's policies.
Creator Obligations
Creators are responsible for accurately describing their services, setting fair pricing, fulfilling bookings as described, and responding to client inquiries in a timely manner. Creators must deliver purchased digital products, complete scheduled calls, and honor all commitments made through the Platform. Failure to fulfill obligations may result in account suspension, removal from the Platform, and forfeiture of pending payouts.
Affiliate Program
BookdUp provides an affiliate marketing program that allows creators to generate commission-based affiliate links for their products and classrooms. By participating in the affiliate program — whether as a creator offering affiliate links or as an affiliate promoting links — you agree to the following terms: (a) Commission rates are set by the creator and are calculated as a percentage of the sale price. (b) Affiliates must connect a Stripe account via Stripe Connect to receive payouts. (c) Affiliate commissions are paid out by the platform after a qualifying sale is completed and the platform receives funds. (d) Self-referrals are prohibited — you may not earn commissions on your own purchases. (e) Affiliates must not use spam, cookie stuffing, misleading advertising, or any deceptive tactic to generate referrals. (f) BookdUp reserves the right to void commissions, disable affiliate links, and ban affiliates who violate these terms. (g) Creators may disable their affiliate program or change commission rates at any time; changes apply prospectively to new sales only. (h) The Platform does not charge a fee on affiliate commissions — affiliates receive 100% of their earned commission.
Referral Program
BookdUp offers a separate referral program where users can earn commissions on subscription payments made by users they refer. Referral commissions are earned only when a referred user maintains an active paid subscription. The commission rate and program terms may change at any time. Referral earnings are tracked and paid through the Platform. Self-referrals and fraudulent referral activity are strictly prohibited.
Intellectual Property
All content, branding, software, and features of the Platform are the intellectual property of BookdUp. Creators retain ownership of the content they upload, including profiles, media, courses, and digital products. By uploading content, you grant BookdUp a non-exclusive license to display and distribute it on the Platform for the purpose of providing services to users. You represent that you have the rights to all content you upload and that it does not infringe on any third-party rights.
Prohibited Conduct
You may not use the Platform to: (a) violate any law or regulation; (b) engage in fraud, money laundering, or unauthorized financial activity; (c) harass, discriminate against, or threaten other users; (d) upload infringing, illegal, or harmful content; (e) attempt to reverse-engineer, scrape, or disrupt the Platform; (f) create fake accounts or misrepresent your identity; (g) circumvent the Platform's payment system to process transactions off-platform; or (h) misuse the affiliate or referral programs through deceptive tactics. Violations may result in immediate account termination and legal action.
Milestone Rewards
BookdUp offers milestone rewards to creators based on lifetime earnings thresholds, which may include digital certificates, apparel, plaques, and event invitations. Milestone thresholds, reward types, and availability may change at any time at BookdUp's discretion. To receive a physical reward, you must provide a valid shipping address; BookdUp is not responsible for rewards lost or delayed due to inaccurate address information. Rewards have no cash value unless otherwise stated, are non-transferable, and may be subject to applicable taxes for which you are responsible. BookdUp may withhold, void, or revoke a reward in cases of suspected fraud, chargebacks, or violation of these Terms.
Team Members
Creators may invite team members to help manage their BookdUp account and assign them permissions to manage profile, bookings, products, calls, community, analytics, payments, or team settings. Creators are solely responsible for the actions of their team members and for ensuring team members comply with these Terms. BookdUp is not liable for any loss or dispute arising between a creator and their team members. Creators may revoke team member access at any time.
Sponsorships & Brand Collaborations
The Platform provides tools for creators to track sponsorship deals, send proposals, and manage brand campaigns. BookdUp acts solely as a tool provider and is not a party to any agreement between a creator and a brand or sponsor. BookdUp does not guarantee the outcome, payment, or fulfillment of any sponsorship or brand collaboration and is not responsible for the conduct of brands or creators in such arrangements.
Developer API & Webhooks
BookdUp may provide developers with API keys and webhook endpoints to integrate Platform data with external systems. API access is granted at BookdUp's discretion and may be rate-limited, suspended, or revoked at any time. You are responsible for keeping your API keys and webhook credentials secure and for all activity made using them. You may not use the API to scrape, overload, disrupt, or reverse-engineer the Platform, or to access data you are not authorized to access. Misuse of API access may result in immediate revocation and account termination.
Cancellation & Refunds
Subscription cancellations take effect at the end of your current billing cycle; you retain access until then. One-time purchases (bookings, products, tips, calls) are generally non-refundable once the service has been delivered, except where required by law. If a creator fails to deliver a booked service, you may request a refund by contacting support within 14 days of the scheduled service date. BookdUp will review refund requests on a case-by-case basis.
Account Termination
You may delete your account at any time through your dashboard settings. BookdUp reserves the right to suspend or terminate any account that violates these Terms, engages in prohibited conduct, or poses a risk to the Platform or its users. Upon termination, pending payouts may be held for a review period. Terminated users may not create new accounts without express permission.
Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind. BookdUp does not guarantee the availability, quality, or outcome of any booking, product, or service. We are not responsible for the conduct, performance, or reliability of any creator or client on the Platform. Content provided through consultations, calls, courses, or digital products is for informational and entertainment purposes only and does not constitute professional advice.
Limitation of Liability
To the maximum extent permitted by law, BookdUp shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. BookdUp's total liability for any claim shall not exceed the amount you have paid to BookdUp in the 12 months preceding the claim.
Changes to Terms
BookdUp may update these Terms at any time. Material changes will be communicated through the Platform or via email. Continued use of the Platform after changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and cancel any active subscriptions.
Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform (including bookings, payments, subscriptions, earnings, and account actions) shall be resolved exclusively through final and binding arbitration, rather than in court — except that either party may bring an individual claim in small claims court where the claim qualifies. Arbitration shall be administered by a neutral arbitration provider in accordance with its rules for individual claims and shall take place in the jurisdiction where BookdUp is based, unless the parties agree otherwise. The arbitrator's decision may be entered in any court of competent jurisdiction. Each party agrees to bring claims only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding; the arbitrator may not consolidate claims or preside over a class action. Before initiating arbitration, both parties agree to first attempt to resolve the dispute informally by contacting BookdUp support and providing 30 days for a good-faith resolution. This arbitration provision survives termination of your account or these Terms. If any portion of this provision is found unenforceable, the remainder shall continue to apply.
Governing Law
These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration or in a court of competent jurisdiction, as determined by BookdUp.
